JACK HAULING LLC

INDEPENDENT CONTRACTOR AGREEMENT (DRIVER)

This Agreement is entered into on the date of acceptance, by and between: Jack Hauling LLC, a South Carolina limited liability company ("Company"), and You ("Contractor").

1. PLATFORM ROLE (CRITICAL SECTION)

Jack Hauling LLC operates an online marketplace that connects customers who need hauling services with independent contractors who provide those services. The Company does NOT perform hauling services itself. The Company is NOT a transportation company, freight broker, or carrier. The Company's role is limited to providing a technology platform that facilitates connections between customers and Contractors.

2. INDEPENDENT CONTRACTOR STATUS

You are an independent contractor, not an employee, partner, agent, or joint venturer of Jack Hauling LLC. You have the right to perform services for others and are not exclusive to the Company's platform. You control the manner and means of performing your hauling services. You set your own schedule and choose which jobs to accept or decline. You provide your own vehicle, equipment, fuel, and supplies. You are responsible for all expenses related to your work.

3. YOUR RESPONSIBILITIES

You represent and warrant that you: (a) Possess a valid driver's license appropriate for the vehicle you operate; (b) Maintain required auto insurance coverage at all times; (c) Own or have legal right to use the vehicle you use for services; (d) Will comply with all applicable federal, state, and local laws; (e) Are legally authorized to work in the United States; (f) Will provide services in a professional and competent manner; (g) Will accurately represent your capabilities when bidding on jobs.

4. INSURANCE REQUIREMENTS

You must maintain at minimum: Commercial auto liability insurance (minimum $300,000 combined single limit); General liability insurance (minimum $300,000 per occurrence). You must provide proof of insurance upon request. You acknowledge that the Company's insurance does NOT cover you or your vehicle. You are solely responsible for any accidents, damages, or injuries occurring during service.

5. PAYMENT TERMS

Payment is processed through the Company's platform. The Company retains a service fee (currently 19%) from each completed job. You will receive the agreed bid amount minus the service fee. Payment is made via Stripe Connect to your connected bank account. Payments are subject to Stripe's terms and processing times. The Company may withhold payment if there is a dispute until resolved. Tips from customers are paid in full to you with no deduction.

6. TAXES

As an independent contractor, you are solely responsible for all taxes on your income, including self-employment taxes. You will receive a Form 1099 if you earn $600 or more in a calendar year. You should consult a tax professional regarding your obligations. The Company does not withhold taxes from your payments.

7. BACKGROUND CHECK CONSENT

By accepting this agreement, you consent to the Company conducting background checks including motor vehicle record checks at any time. You authorize the Company to use third-party services for these checks. Adverse results may result in suspension or termination from the platform.

8. CONDUCT AND PROHIBITED ACTIVITIES

You agree NOT to: Misrepresent yourself, your qualifications, or your vehicle; Engage in fraudulent bidding or price manipulation; Harass, threaten, or discriminate against customers; Use the platform for any illegal purpose; Share customer information with third parties; Solicit customers for off-platform transactions; Damage, steal, or misappropriate customer property.

9. INTELLECTUAL PROPERTY

Jack Hauling LLC retains all rights to the platform, branding, and technology. You may not use the Company's name, logo, or trademarks without written permission. Any feedback you provide may be used by the Company without compensation to you.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW: The Company's liability to you is limited to the service fees paid in the 30 days preceding any claim. The Company is not liable for lost profits, indirect, incidental, or consequential damages. The Company is not responsible for disputes between you and customers. The Company makes no guarantees about the volume or consistency of job opportunities.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Jack Hauling LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from: Your performance of services; Your violation of this Agreement; Your violation of any law or third-party rights; Any accident, injury, or property damage caused by you.

12. TERMINATION

Either party may terminate this Agreement at any time without cause. The Company may immediately suspend your access for violations of this Agreement. Upon termination, you must cease using the Company's platform. Outstanding payments for completed jobs will be processed per normal terms.

13. DISPUTE RESOLUTION

Any disputes shall be resolved by binding arbitration in South Carolina under AAA Commercial Arbitration Rules. You waive the right to participate in class action lawsuits. This Agreement is governed by South Carolina law. You may opt out of arbitration within 30 days by written notice.

14. ENTIRE AGREEMENT

This Agreement, along with the Platform Terms of Service, constitutes the entire agreement between you and the Company. The Company may update this Agreement with notice. Continued use of the platform constitutes acceptance of updates. If any provision is unenforceable, the remainder stays in effect.
